Subject: Revised Light Duty Contract September 1, 2005 – Service Provider No:_________

Beginning September 01, 2005 be informed that our new rates for towing, service calls et al. is as follows:

Unloaded enroute $1.50 per mile after 10 miles free. Loaded $2.00 per mile 0 free miles. Loaded miles include any portion of a mile rounded off/up to the next whole mile. Hookup $50 plus mileage. Dolly $40. Where a Flatbed is required $70 plus mileage. All service calls $40 plus mileage except for winch outs. Winch outs $80 plus $1.00 per ft. for cable used.

Additional $10 per level on enclosed garages where we cannot service the customers vehicle with our truck because of a height limitation. $15 GOA fee for all calls 20 miles enroute and under. Over 20 miles enroute is $1.50 per mile.

Service will be provided 5AM-8PM-365 unless you become more than 30 days delinquent. At our discretion, we will begin with ceasing night calls then eventually no credit will be issued. Any calls requested must then be paid in advance with a valid credit card. If outstanding invoices remain unpaid for a period of 60 days, an interest in the amount of 1% per month will be added to each invoice until it is paid. We regret having to increase our rates but the rising and unstable fuel costs plus the high cost of living and doing business here in the islands demands an adjustment. This contract will remain in force for at least 6 months then at our option as we deem it necessary we may make further adjustments. You will be notified in writing if we feel any changes are warranted. This is the only document establishing and confirming our rates. You may either begin or continue to fax your dispatches. Any issues not discussed or itemized in this contract will be billed at the existing rate already established.

Any calls contracted to us after that date will be billed at these rates. Your contracting us after August 31, 2005 will validate this agreement.

Subject: Revised Light Duty Contract September 1, 2006 – Service Provider No:_________

Beginning September 01, 2006 be informed that our new rates for towing for all motor clubs with 8 calls or more per month including service calls et al. is as follows:

Unloaded enroute $1.50 per mile after 10 miles free. The maximum unloaded enroute miles will be 35 miles. Over 35 miles is free enroute miles. Loaded $2.00 per mile 0 free miles. Loaded miles include any portion of a mile rounded off/up to the next whole mile. Hookup $50 plus mileage. Dolly $40. Where a Flatbed is required $70 plus mileage. Motorcycle's will be billed the same as a Flatbed rate. All service calls are $40 plus mileage except for winch outs. Winch outs $80 plus $1.00 per ft. for cable used plus enroute miles. On enclosed garages add an additional $20 where we cannot service the customers vehicle with our truck because of a height limitation. $15 GOA fee for all calls 20 miles enroute and under. 21 miles and over enroute miles is $1.50 per mile.

You may either begin or continue to fax your dispatches to us directly. Any issues not discussed or itemized in this contract will be billed at the existing rate already established. Any calls contracted to us after September 01, 2006 will be billed at these rates. Your continued business with us after August 31, 2006 will validate this agreement.

Non-Contracted "Cash Call" Rates

LIGHT DUTY
Basic hook up – Wrecker plus enroute & loaded miles $ 60
Basic hook up – Flatbed plus enroute & loaded miles $ 70
Dolly – driver cannot drive over 45 mph using the dollys! $ 40
Enroute miles – 1st 10 miles free, after that . . . $ 1.50 per mile
Loaded miles – 0 free miles $ 6 per mile
Loaded miles also includes any portion of a mile rounded off/up to the next whole mile.
Hourly rate $120 per hour
Winch Out – Day time plus cable cost $ 80 per hour – min 1 hr.
Winch Out – Night Time plus cable cost $120 per hour – min 1 hr.
Cable used $1 per l.f.
Jump Starts plus enroute miles $ 40
Tire Changes plus enroute miles $ 40

* A Credit Card number must be taken before we commit to a cash call! Receipts will be mailed out the following day by the office as the drivers do not have blank invoices.

Temporary Service Calls Contract
As of 9/11/06
LIGHT AND MEDIUM DUTY ONLY

The Company is going to run an experiment to see if this will be of benefit to you until October 31, 2006. If the program works and you wish to continue it, please notify me and after examining the previous six weeks, if it seems to have been beneficial to both you and The Company, I will decide to either extend the program or discontinue it. You are only one of two Motor Clubs I will be offering this service to:

You are being offered a flat rate on all your service calls for this six week period. Flat rate is set at $55.00 per service call regardless of the enroute miles or service performed. The services offered are:

1. Lock Outs
2. Tire Changes
3. Fuel Deliveries and
4. Jump Starts
When it comes to jump starts, we are going to be offering to change out the battery for the customer. We will be inventorying batteries in our service vehicle. As always, jump starts include:

1. Checking the charging system, the alternator and the wiring to the battery
2. Checking both sides of the battery, ie: voltage and amperage
3. Reporting to the customer their options
The options will now include selling and installing a new battery on the spot along with cleaning and/or changing their terminals as needed all at no charge to the Motor Club. This is a step up from our previous agreement as before we only advised the customer what he needed to do or else if the battery was no good, the vehicle had to be towed. You will now save that towing bill since we will service the vehicle at the time of dispatch at no further cost to you. In order to take advantage of this offer, you simply agree to dispatch to The Company a minimum of 8 service calls per 24 hour day. If we do not receive 8 service calls on any one 24 hour day then the flat rate will not apply and the terms of our existing contract will apply. This is not an average of 8 calls per day. This means each day's billing will be priced at the end of each 24 hour day. This test may expire on October 31, 2006 or it may continue until the end of our service year September 01, 2007.
